Chapter 4 - Thomas Keene

Thomas did not disappear.

He drove to JFK.

His passport scan flagged after counsel notified investigators? You can't just flag without authority. Better firm contacted him; law enforcement involvement around suspected fraud; airport records later showed he departed to London before any hold.

He boarded a commercial flight to London at 6:10 p.m.

Before we knew merger document existed.

That mattered.

He planned departure.

His Blackthorne employment agreement promised:

Managing Director, Special Situations.

$850,000 base.

guaranteed bonus.

significant profit participation.

For a thirty-four-year-old associate attorney.

Generous.

Could be legitimate recruitment.

Timing terrible.

Then his firm email archive, reviewed under legal employment policies and privilege protocols, revealed months of contact with Damian’s outside counsel.

Some ordinary.

Some not.

One message:

Need final trust protector signature sample.

Response from Blackthorne lawyer:

For formatting only.

No.

Then:

Can you confirm Mara’s current residence jurisdiction?

Why?

Potential litigation.

Then:

Elias annual capacity videos—where stored?

That was worse.

Thomas replied:

Will discuss offline.

Samuel looked devastated.

“He was in my office.”

“Did you supervise?”

“Yes.”

“Then how?”

“Because I trusted him.”

There was no magic security.

People exploit trust.

Then merger signature.

Forensic examination eventually concluded it was a high-quality digital reproduction of my genuine signature extracted from a trust certification.

Not handwritten.

That clarified.

Document had not been executed legally.

No notarization.

It was a draft meant to create appearance of internal support during preliminary board discussions.

Maybe not enough to close merger, but enough to influence.

Then Thomas in London hired counsel.

He did not flee into darkness.

He said he traveled for previously planned personal reasons and denied wrongdoing.

Employment agreement?

He planned to join Blackthorne after resigning.

Conflict undisclosed.

He admitted sending signature sample for “draft formatting” but claimed he expected watermark stating DRAFT.

No watermark.

Who removed?

Unknown.

He admitted telling Damian archive location but denied removing video.

So another actor.

Then Andrew Vale, trust administrator.

He was sixty, meticulous, loyal to Elias.

He denied any leak.

Security logs:

Thomas accessed archive index.

Andrew accessed capacity recordings two weeks before death.

Samuel did too.

Why Andrew?

Annual review.

Then missing final recording.

Physical drive removed.

Camera in archive hallway showed Andrew leaving with archive case.

He admitted.

“Elias told me to.”

Why?

Grandfather wanted final recording moved to bank vault.

Did he?

Written instruction exists.

Yes.

Where vault?

Andrew would not tell until court order? But as trust administrator he can disclose to trustee. He told Samuel.

Bank box.

We accessed with proper authority.

Final recording still there.

Not missing.

Thomas simply did not know relocation.

Grandfather anticipated internal leak.

In video, Elias sat at desk three months before death.

Clear.

Tremor in left hand.

Mind sharp.

He described:

name.

date.

trust.

assets.

why Mara successor.

why Damian not automatically excluded from inheritance.

Then said:

“I have mild cognitive impairment. I forget names sometimes. I repeat questions. I remain capable of understanding what I own, what this trust does, and why I am doing it.”

Independent attorney questioned.

Doctor questioned.

Strong capacity evidence.

Not invulnerable.

But strong.

Then Elias said:

“Damian will call Mara weak. Celeste will call her vindictive. Both are mistaken.”

I almost smiled.

Then:

“Mara must not inherit because she is nicer. She is not.”

Samuel chuckled.

Then:

“She inherits control because she has spent six years telling me when my companies are wrong.”

That was it.

He valued opposition.

Then:

“If she uses this trust to settle family scores, remove her.”

I froze.

Samuel showed clause.

Trust protector mechanism allowed independent committee to suspend me for bad-faith use.

Power constrained.

Good.

Then Elias said:

“Damian is not disinherited.”

Important.

“He receives substantial assets and may remain shareholder. I do not punish ambition.”

Then:

“But he will not control Mercer Dynamics until he can distinguish leverage from stewardship.”

That hurt Damian likely.

Then final.

“Celeste already knows enough to stop him.”

I looked at Samuel.

“What does that mean?”

He didn't know.

Grandfather looked into camera.

“Ask her about Blackthorne Fund III.”

Fund III launched four years ago.

Celeste was early investor.

So?

We pulled subscription documents.

Celeste invested $10 million personally.

Then withdrew eighteen months later.

Why?

Fund performance strong.

She left money on table.

Redemption letter:

Loss of confidence in risk controls.

That was surprising.

Celeste had secretly exited her son’s fund.

Then email to Elias:

You were right. Damian is using Mercer relationships as if they are permanent capital.

Grandfather replied:

Then tell him.

Celeste:

He won’t hear it from me.

Grandfather:

Then he will hear it from market.

She knew.

She had warned Elias privately while publicly supporting Damian.

Why continue?

Family.

Fear.

Image.

Then another email:

I found something in Fund III side pocket that does not belong there.

What?

No attachment.

Grandfather replied:

Bring originals.

Did she?

We searched Elias personal vault.

A folder:

BLACKTHORNE III.

Inside were investment statements showing a Blackthorne side vehicle had purchased debt tied to Mercer Dynamics suppliers shortly before internal restructuring.

Again, could be legal.

Then one line:

Source designation: C.M.

Celeste Mercer?

Maybe.

Or client mandate.

Then handwritten note:

Celeste says she did not authorize.

If true, Damian used her account credentials/authorization improperly.

That would mean he had even exploited his mother.

Then Samuel said:

“We need to ask her.”

Celeste agreed to meet.

She arrived wearing black.

Funeral makeup gone.

Looked exhausted.

I placed statement.

She stared.

Then said:

“I told Elias not to keep this.”

“Why?”

“Because if Damian knew I found it, he would destroy me.”

I almost laughed.

“You’re his mother.”

“That has never prevented him from destroying things.”

Silence.

Then she said:

“Damian didn’t just misuse my investment.”

“He used your name?”

“Yes.”

“For what?”

“To hide who was feeding him Mercer information.”

My chest tightened.

“Who?”

She looked at me.

“Your father.”

I froze.

My father had died when I was nineteen.

Impossible.

Celeste corrected:

“Not your father personally.”

“Then?”

“His old office.”

My father, Daniel Mercer, had been CFO of Mercer Dynamics before his death.

His archived credentials.

Someone had been using dormant access paths labeled under his old department to extract internal data.

May you like

For years.

And whoever did it wanted investigators to believe a dead man’s office was source.
